These Terms of Service (“Terms”) govern the use of and access to the website located at https://JacobAlgoDev.com (the “Site”) and any related services, products, or offerings (collectively, the “Services”) provided by The Pinescript Connoisseur, LLC (the “Company”), a Delaware limited liability company doing business as JacobAlgoDev (“we,” “us,” or “our”). By accessing or using our Site or Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our Site or Services.

  1. Legal Entity & DBA

      1. Entity Name

        These Terms are entered into by The Pinescript Connoisseur, LLC , a Delaware limited liability company, doing business as JacobAlgoDev.

      2. Principal Place of Business

        Our principal place of business is in Las Vegas, Nevada. We do not publicly disclose our physical business address for privacy reasons. All legal inquiries can be directed to support@jacobalgodev.com.

  2. Description of Services

    1. Custom Software Development

      We provide bespoke software development services, specializing in Pine Script, Python, and related technologies to build custom trading indicators, strategies, backtesters, and automated trading bots. Projects are defined on a case-by-case basis following a discovery call and a custom quote.

    2. Upsells, Downsells & Other Products

      We may offer additional or alternative products or services (e.g., one-time-payment TradingView indicators, courses, or other digital products) to prospects or Clients who do not qualify or opt for our main custom coding services. The availability, pricing, and terms for these unlisted offers are shared during the sales process at our discretion.

    3. No Financial Advice

      We do not provide investment, financial, or trading advice. All software and scripts are implemented based solely on your instructions and strategy. You are solely responsible for the decisions and outcomes resulting from the use of any software or scripts we develop.

  3. Onboarding & Scope of Work

    1. Consultation Call & Custom Quote

      Prior to starting any project, you must schedule a consultation call via our booking system on the Site. During this call, we discuss requirements and provide a custom quote. We will subsequently send you a project agreement via our GoHighLevel platform (“Project Agreement”), which may incorporate these Terms by reference.

    2. Final Scope & Revisions

      • The scope of work is primarily dictated by the discussion in the consultation call(which may be recorded).
      • Any features, requirements, or deliverables not explicitly agreed upon during this call are considered out of scope, even if not clearly excluded in the Project Agreement.
      • No free revisions are granted for additions or changes beyond what was agreed in the consultation call. Any additional work or revisions will incur extra charges at our discretion.

    3. Estimated Timelines

      We may provide an estimated timeframe for project completion, but this is not a guarantee. Delays may arise due to complexity, third-party dependencies, or Client responsiveness. We are not liable for any indirect costs, losses, or damages resulting from delays.

  4. Payment Terms

    1. Non-Refundable Retainer

      • 50% Deposit: A non-refundable deposit (retainer) of 50% of the total quoted project cost is due upfront before we begin any development work.
      • Remaining 50% : The balance is due upon completion of the project, prior to release or delivery of final code.

    2. Payment Methods

      Payments are processed through GoHighLevel with Stripe. We may also offer “buy now, pay later” options or other Stripe-related payment methods at our discretion.

    3. Refund Policy

      All payments (including the 50% retainer) are non-refundable except in rare, case-by-case scenarios where we determine, in our sole discretion, that a refund is appropriate (e.g., we fail to deliver the agreed-upon scope due to our own fault).

    4. Termination & Deposit Forfeiture

      • If you cancel or terminate the project at any point, we retain the entire deposit.
      • We reserve the right to terminate the project if you become unresponsive for an extended period, engage in fraudulent or nefarious activities, or otherwise breach these Terms. In such cases, the deposit is also forfeited.

    5. No Late Fees

      Because the final 50% must be paid before we deliver the completed work, we typically do not charge late fees or interest. If at any point a different payment schedule is negotiated, any late payments may be subject to additional terms outlined in the Project Agreement.

  5. Ownership & Intellectual Property

    1. Ownership Transfer

      Ownership of the custom-coded project deliverables transfers to you only after we receive the final payment in full. Until payment is received, we retain all intellectual property rights to the deliverables.

    2. Exclusions

      Any products or services other than custom coding (e.g., courses, pre-coded products, indicators sold as-is) are not transferred in ownership unless explicitly stated in a separate agreement.

    3. Reusability of Code

      We reserve the right to reuse, modify, or incorporate any general methods, boilerplate code, or libraries that we created independently of your proprietary logic. We will not disclose or reuse unique trading logic or confidential details specific to your strategy.

    4. Confidentiality

      We acknowledge that your trading ideas, strategies, or algorithms may be proprietary and confidential. We will not share, sell, or otherwise disclose your unique trading logic to any third party without your express written consent, except as required by law.

    5. NDAs & Project Agreement

      Any additional Non-Disclosure Agreement (“NDA”) clauses or confidentiality terms may be included directly in the Project Agreement. In the event of any conflict between this TOS and the NDA, the NDA terms will govern regarding confidentiality.

  6. Maintenance, Warranties & Liability

    1. Initial Bug Fix Period

      We provide a 1-month bug fix window from the date of final delivery, during which we will correct any material errors or omissions that deviate from the agreed-upon functionality in the consultation call.

    2. Maintenance Packages

      • No Ongoing Liability by Default : If you do not purchase a separate maintenance package, we bear no obligation to update, modify, or ensure compatibility of your custom-coded solution after delivery.
      • Tiered Maintenance : We may offer separate maintenance plans (monthly or yearly) covering various levels of updates, bug fixes, or service changes (e.g., third-party API modifications). If you are subscribed to such a plan, our liability to fix or update code is limited to the scope of that specific plan.
      • Service Changes : If a core component or third-party service becomes unavailable, requiring significant rework, whether it is covered depends on your chosen plan. If covered, our maximum liability is limited to the amount paid under that maintenance plan.

    3. No Financial Guarantees

      All Services are provided “as is,” without any guarantee of profitability, success, or future performance of your trading strategies. Trading involves substantial risk and the possibility of significant losses; you assume full responsibility for your trading decisions.

    4. Third-Party Services

      We are not liable for outages, disruptions, or issues caused by third-party platforms (e.g., TradingView, broker APIs, hosting services). You acknowledge these are outside our control.

    5. Limitation of Liability

      To the fullest extent permissible by law, our maximum liability arising from or related to these Terms or any Services provided is limited to the total amount you have paid us for the specific project or product that gave rise to the claim. We are not liable for any incidental, indirect, or consequential damages, including but not limited to trading losses, lost profits, or lost data.

  7. Cancellation, Termination & Dispute Resolution

    1. Cancellation by Client

      If you cancel after paying the retainer, the retainer is forfeited. Should you elect to terminate midway, we will not refund amounts already paid unless we, in our sole discretion, determine it is warranted due to our failure to deliver

    2. Termination by Us

      We may terminate or suspend Services at any time if you breach these Terms, fail to respond for an extended period, or engage in any activity we deem inappropriate or harmful. In such cases, we retain the deposit as liquidated damages.

    3. Governing Law & Venue

      These Terms and any disputes arising under them are governed by the laws of the State of Nevada, without regard to conflict-of-law provisions. Any legal action shall be filed in the state or federal courts located in Clark County, Nevada, and you consent to such jurisdiction and venue.

    4. Arbitration / Mediation (Optional)

      At our discretion, we may propose arbitration or mediation for dispute resolution. Such proceedings will occur in or near Las Vegas, Nevada, unless otherwise mutually agreed.

  8. Website Usage

    1. Site Content

      All text, images, branding, and other materials provided on our Site are the property of JacobAlgoDev (The Pinescript Connoisseur, LLC) and are protected by intellectual property laws. You shall not reproduce, distribute, or create derivative works without our express written consent.

    2. Booking & Contact Forms

      You agree to provide accurate information when using any contact or booking forms on our Site. Any misuse may result in denial of service or legal actions if fraudulent activity is detected.

    3. External Links

      Our Site may contain links to external websites (e.g., Upwork, TradingView, or other businesses we own). We do not endorse or assume responsibility for any third-party site’s content, privacy policies, or practices.

  9. Confidentiality & Data Storage

    1. Client Data

      We store and manage client data (including but not limited to contact information, project details, API keys, or strategy logic) within our GoHighLevel system. We will not share your personal data or trading secrets with third parties, except as required by law or for project execution (e.g., API integration).

    2. Retention of Data

      We may retain your information for marketing, contact, and documentation purposes. If you need us to delete or anonymize your data, you may request so in writing at support@jacobalgodev.com, subject to our legal obligations.

  10. Disclaimers

    1. No Financial Advice

      Under no circumstances do we provide trading advice, investment advice, or financial planning services. Any reliance on code or indicators is at your own risk.

    2. High-Risk Use

      Trading software can be considered high-risk. By using our Services, you acknowledge and accept the inherent risks of any financial market activity.

    3. Force Majeure

      We are not liable for delays or failures to perform due to events beyond our reasonable control, including natural disasters, strikes, supply shortages, or third-party interruptions

  11. Modifications

    We may update these Terms at any time by posting a revised version on our Site with a new “Last Updated” date. Your continued use of the Site or Services after any such change constitutes your acceptance of the revised Terms.

  12. Entire Agreement

    These Terms, together with any Project Agreements, NDAs, or additional written agreements between the parties, represent the entire agreement concerning the subject matter herein and supersede all prior or contemporaneous agreements, understandings, or representations.
